Are you an experienced Company Secretary with a strong understanding of South African corporate governance and compliance frameworks? We are seeking a freelance professional to support our growing portfolio of clients with board administration, statutory compliance, and governance advisory services.

This is a flexible consulting opportunity ideal for professionals with CoSec experience in listed, private, or non-profit entities who thrive in a project-based environment.

Key Responsibilities

Support client boards with company secretarial services, including but not limited to:

  • Board & Committee Support
    • Distribute meeting packs and maintain attendance registers.
    • Attend and minute board and committee meetings (virtual/in-person).
    • Circulate minutes and track action items within agreed timelines.
  • Statutory Compliance
    • Manage statutory filings (director changes, annual returns, beneficial ownership updates).
    • Maintain statutory registers and monitor CIPC compliance.
    • Ensure alignment with Companies Act, King IV, and entity MOIs.
  • Governance Advisory
    • Support board inductions and governance training.
    • Assist with board calendars, workplans, and charter reviews.
    • Provide proactive advice on best-practice governance processes.
  • Tiered Service Execution
    • Deliver across varying engagement models – from foundational support (ad hoc board packs and minutes) to full outsourced CoSec solutions including compliance oversight and advisory.

Skills & Experience Required

  • Minimum 5 years’ experience in a Company Secretarial or Governance role (consulting or in-house).
  • Strong knowledge of South African Companies Act, CIPC filings, and King IV principles.
  • Proven experience preparing board packs, drafting accurate minutes, and maintaining statutory records.
  • Familiarity with CIPC online systems and beneficial ownership requirements.
  • Excellent organisational skills, attention to detail, and ability to meet deadlines.
  • Strong interpersonal and communication skills to liaise with boards and senior leadership.
  • Relevant qualification in Company Secretarial Practice, Law, Governance, or equivalent (CGISA membership advantageous).
